Terms of Service

Welcome to HealthVivo. These Terms of Service ("Terms") govern your access to and use of the HealthVivo platform, including the website at www.healthvivo.com, the HealthVivo mobile application, and all related services (collectively, the "Service"), operated by HealthVivo, Inc. ("HealthVivo," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Description of Service
HealthVivo is a family health management platform that brings together electronic health records, AI-powered health insights, medication tracking, appointment coordination, and care management tools into a single application. The Service includes:
- Aggregation of health records from connected healthcare providers
- An AI-powered health assistant ("Your Vivo") that answers health-related questions using your family's real medical data
- Medication tracking, refill reminders, and interaction alerts
- Appointment scheduling and calendar integration
- Care Circle management for multiple family members
- Health insights, vitals tracking, and preventive care recommendations
2. Eligibility
You must be at least 18 years of age to create a HealthVivo account. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
You may add minor children and other dependents to your Care Circle and manage their health information on their behalf, provided you have legal authority to do so (e.g., as a parent, legal guardian, or authorized caregiver). You are responsible for all activity conducted through dependent profiles you create.
3. Account Registration and Security
To access the Service, you must create an account with accurate, current, and complete information. You agree to:
- Provide truthful and accurate registration information
- Maintain the security and confidentiality of your login credentials
- Promptly update your account information if it changes
- Accept responsibility for all activities that occur under your account
- Notify us immediately at support@healthvivo.com if you suspect unauthorized access to your account
HealthVivo reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
4. Important Medical Disclaimer
HealthVivo is not a medical provider. The Service, including Your Vivo AI assistant, does not provide medical advice, diagnosis, or treatment.
Information provided through the Service — including AI-generated health insights, medication information, lab result interpretations, and preventive care recommendations — is for informational purposes only and is not a substitute for professional medical advice, diagnosis, or treatment.
You should:
- Always consult a qualified healthcare provider before making any medical decisions, starting or stopping medications, or changing your treatment plan
- Never disregard professional medical advice or delay seeking it because of information obtained through the Service
- Call 911 or your local emergency number immediately if you believe you or a family member are experiencing a medical emergency
HealthVivo does not recommend or endorse any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned through the Service.
5. AI Assistant Limitations
Your Vivo is an artificial intelligence assistant designed to help you understand and manage your family's health information. While we strive for accuracy, you acknowledge that:
- AI-generated responses may contain errors, omissions, or inaccuracies
- AI outputs are based on the data available to the system and may not reflect your complete medical history
- AI technology has inherent limitations and should not be relied upon as the sole basis for health decisions
- The Service is not designed for use in medical emergencies
- You are responsible for verifying any information provided by the AI assistant with your healthcare providers
6. Health Records and Data
By connecting your health records through the Service, you:
- Authorize HealthVivo to access, retrieve, and store your electronic health records from connected healthcare providers on your behalf
- Represent that you have the legal authority to access and share the health information of any family members you add to your Care Circle
- Acknowledge that the accuracy of health data depends on the information provided by your healthcare providers and connected systems
- Understand that HealthVivo is not responsible for errors or omissions in data received from third-party healthcare systems
Your health data is handled in accordance with our Privacy Policy and applicable federal and state privacy laws, including HIPAA where applicable.
7. Permitted Use
You agree to use the Service only for its intended purposes — managing your family's health information, accessing health insights, and coordinating care. You may not:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
- Use the Service to transmit harmful code, malware, or disruptive content
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Scrape, crawl, or use automated means to access the Service without our written consent
- Resell, redistribute, or commercially exploit any part of the Service
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Service to provide medical advice or services to third parties
8. Third-Party Services
The Service integrates with third-party services including, but not limited to, electronic health record systems, Apple HealthKit, Google services, and payment processors. Your use of these integrations is subject to the respective third party's terms and privacy policies. HealthVivo is not responsible for the availability, accuracy, or practices of any third-party services.
9. Intellectual Property
The Service, including its design, features, content, software, algorithms, and all related intellectual property, is owned by HealthVivo, Inc. and is protected by copyright, trademark, patent, and other intellectual property laws.
You retain ownership of your personal health data. By using the Service, you grant HealthVivo a limited, non-exclusive license to use, process, and store your data as necessary to provide and improve the Service, as described in our Privacy Policy.
10. Fees and Payment
Certain features of the Service may require a paid subscription. If applicable:
- Fees will be clearly disclosed before you are charged
- Subscription fees are billed in advance on a recurring basis
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
- Refunds are handled in accordance with applicable law and our refund policy
HealthVivo reserves the right to modify pricing with reasonable advance notice.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHVIVO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY HEALTH DECISIONS MADE BASED ON INFORMATION PROVIDED THROUGH THE SERVICE, OR ANY UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA.
IN NO EVENT SHALL HEALTHVIVO'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HEALTHVIVO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless HealthVivo and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) any health decisions made based on information obtained through the Service.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. HEALTHVIVO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
14. Termination
You may terminate your account at any time by contacting support@healthvivo.com or through your account settings. Upon termination:
- Your right to access the Service will cease immediately
- You may request an export of your health data prior to account deletion
- HealthVivo will delete your personal data in accordance with our Privacy Policy and applicable data retention laws
HealthVivo may suspend or terminate your account at any time for violation of these Terms, with notice where reasonably practicable.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
16. Modifications to Terms
HealthVivo reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Effective" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
For material changes that affect your rights, we will make reasonable efforts to provide advance notice via email or in-app notification.
17. General Provisions
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and HealthVivo regarding the Service.
Assignment: You may not assign your rights under these Terms without our written consent. HealthVivo may assign its rights and obligations without restriction.
